Special Member Update - UK Ultimate Ltd

Dear UKU Member

This email is to confirm that as of Saturday 28th June the following four resolutions were duly passed:

1. That notwithstanding anything contained in the constitution of the Association, the resolutions contained in this email notice will be validly passed by a simple majority or a two thirds majority (as the case may be) of the Full Members who are entitled to vote and do vote.

2. That the memorandum and articles of association attached herewith (UKUA1) be approved and adopted as the new memorandum and articles of the Association.

3. The approval of the Association to enter the Transfer Document, a copy of which is attached herewith (UKUA2).

4. The approval that any two members of the board may execute the Transfer Document.

The Association has been transferred into a Company Limited by Guarantee. Your membership status remains unaltered. Following a special resolution of the company, the Articles have been amended in order to reflect the constitution of the Association.

Hopefully you are already aware of the current process to change the legal structure of the UKUA into a company limited by guarantee. If not - please look here for more details.

We need your help please!

You may or may not know that the UKUA is currently what is known as an unincorporated association. This is not unusual for sports organisations like ours - and also sports clubs. However there is a significant drawback to the arrangement in that the organisation has no real standing legally. This has various implications - but in particular it means that when the Association makes an arrangement with someone else, or takes on some liability, it is in fact being taken on personally by the members of the Board. (In other unincorporated associations it could be "all members" - but for us it's basically the Board.)

GB Masters in Brazil

The GB Masters team were silver medallists at the World Beach Championships in Brazil. We had to beat Portugal in our last pool game to reach the semi final. Despite starting poorly and going behind we ran very hard and eventually scored a string of points near the end to win comfortably.

Great Britain Women sport gold as World Champions!

GB Women celebrate their World Championship victory Great Britain Women's ultimate team: World Beach Champions!

Several of the team members will compete at the World Ultimate Championships, on grass, in Vancouver in August 2008, where they will be chasing more medals
